The short version: $10 buys you a personal licence to use Cyanote on the computers you own, for as long as you like, including every future update. You may not resell it or pass the licence key around. Your notes are yours and stay on your own machine. If you don't like it, ask for your money back within 14 days. The app is provided as it is, and if something goes wrong our liability is limited to what you paid. The sections below say all of that properly.

1. Who these terms are between

These terms are an agreement between you and the developer of Cyanote ("we", "us"), and they apply when you buy, download or use the Cyanote application and this website. By installing or using Cyanote you accept them. If you do not accept them, do not install the app, and ask for a refund if you have already paid.

Purchases are processed by Lemon Squeezy, which acts as the Merchant of Record. That means Lemon Squeezy is the seller on your statement and handles payment and sales tax. Their own terms apply to the payment itself, in addition to these terms which cover the software.

2. The licence you are buying

When you buy Cyanote we grant you a personal, non-exclusive, worldwide, perpetual licence to install and use the app. Concretely:

What the licence does not allow: reselling the app or your licence key, sharing the key publicly, distributing modified copies, or presenting Cyanote as your own product. One purchase covers one person, not a team or an organisation. If you want to buy copies for a team, write to us and we will sort something out.

We own the app itself, its name and its design. Buying a licence does not transfer any of that to you.

3. What "free updates" means

Every update we release for a version you own is included at no extra cost, for as long as we keep developing the app. We will not charge you again for a major version, and there are no paid add-ons or feature tiers.

We cannot promise to develop Cyanote forever, and no honest software company can. What we can promise is what happens if we stop: the copy you have installed keeps working. Cyanote stores your data on your own computer and does not need our servers to run, so it does not stop functioning if we do. Nothing here obliges us to release any particular feature, on any particular date, or at all.

4. Windows

Cyanote is sold today as a macOS application. A Windows version is in development. If and when it is released, your existing purchase covers it at no additional cost. We are not able to promise a release date, and you should buy Cyanote for what it does on macOS today rather than for a Windows version that does not yet exist.

5. Price, payment and refunds

The price is $10 USD, once. Local taxes may be added at checkout by Lemon Squeezy depending on where you are. We may change the price for future customers; a change never affects a purchase you have already made.

You may request a full refund within 14 days of purchase, for any reason and without explaining yourself. The details are on the refund policy page, which forms part of these terms. A refund ends your licence, and we ask that you uninstall the app.

6. Your data is yours

Everything you create in Cyanote — notes, tasks, calendar entries, habits, clipboard history, settings — is stored locally on your own computer. We do not host it, we cannot read it, and we claim no rights over it whatsoever. It remains yours, during and after any licence.

Because your data lives on your machine rather than ours, backing it up is your responsibility. We cannot restore anything for you, because we do not have it. The privacy policy sets out the small number of network requests the app makes and exactly what each one contains.

7. Licence activation

A genuinely fresh installation asks once for the licence key from your purchase email, and checks it against Lemon Squeezy to confirm the purchase. After that it is not checked again: the app does not phone home on launch, and it does not stop working if you go offline, if Lemon Squeezy has an outage, or if we disappear.

You are responsible for keeping your licence key. If you lose it, contact us and we will help you recover it.

8. Acceptable use

Use Cyanote lawfully. Do not use it to store or distribute material that is illegal where you are, and do not attempt to attack, disrupt or gain unauthorised access to this website or our update servers.

Do not attempt to circumvent the licence activation, or distribute tools or keys that help others do so. Nothing in this section limits any right you have under applicable law to decompile software for interoperability purposes, where the law grants it.

9. Third-party components

Cyanote includes open-source components, each under its own licence. The full list ships with the application in its third-party notices, and those licences continue to govern those components rather than these terms.

10. No warranty

Cyanote is provided "as is". We have built it carefully and we use it ourselves daily, but we do not warrant that it will be free of defects, that it will meet your particular requirements, or that it will run without interruption on every system. To the fullest extent the law allows, we exclude all implied warranties.

If you are a consumer, this does not affect your statutory rights. In many countries you have legal guarantees about goods and digital content that cannot be excluded by a contract, and where those rights are more generous than this section, they win.

11. Limitation of liability

To the fullest extent permitted by law, our total liability to you for anything arising out of Cyanote or these terms is limited to the amount you actually paid for it. We are not liable for indirect or consequential losses, for lost profits or business, or for lost or corrupted data.

That last one deserves saying plainly rather than burying: keep backups. Your notes are on your computer, we have no copy of them, and if they are lost we cannot get them back for you regardless of the cause.

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

12. Ending the agreement

You can stop using Cyanote at any time by uninstalling it. Your notes stay on your computer either way, and are yours to keep, export or delete as you see fit.

We may end your licence if you materially breach these terms — for example by reselling the app or distributing your key publicly. We would contact you first where it is reasonable to do so.

13. Changes to these terms

We may update these terms, and will revise the date at the top when we do. The version that applies to your purchase is the one published on the day you bought. We will not apply a later change retroactively to a licence you already hold.

14. Governing law

These terms are governed by the laws of the country in which we are established, and any dispute arising from them will be heard by the courts of that country.

If you are a consumer, you keep the protection of the mandatory consumer laws of the country where you live, and you can bring proceedings there. Nothing in this section takes that away.
